Terms of Service

These Terms of Service ("Terms") govern your use of the MenuModa platform ("Service"), operated by MenuModa, Bulgaria ("we", "us", "MenuModa"). By signing up for the Service, you agree to these Terms in full.

If you are a guest using a restaurant's menu powered by MenuModa, Section 5 (Customer Orders & Data) applies to you.

1. The Service

MenuModa provides restaurants with a digital menu platform that includes:

  • Initial menu setup — we build your menu from materials you provide (text, photos, pricing)
  • Bilingual (Bulgarian + English) menu hosting, accessible via QR code and URL
  • An admin dashboard to manage dishes, categories, availability and pricing
  • Real-time delivery order management and status tracking
  • A print-ready QR code and direct link to your menu

2. Menu Setup

MenuModa will build your initial digital menu using materials you supply (menu PDF, photos, descriptions). We aim to complete the initial setup within the timeframe agreed at signup.

Once live, you are responsible for keeping your menu accurate — including prices, availability and allergen information — using the admin panel. MenuModa does not monitor or update your menu content on an ongoing basis.

3. Subscription & Payment

  • Subscriptions are billed through Stripe. Pricing is stated at the time of signup.
  • Subscriptions renew automatically at the end of each billing period unless you cancel beforehand.
  • A one-time setup fee covers the initial menu build and is non-refundable once setup has begun.
  • Monthly fees: if you cancel within 7 days of your first monthly charge and your menu has not yet been made live, we will refund the monthly fee pro-rata. After that point, no refund is due for the current billing period.
  • You are responsible for keeping your payment method up to date. Failure to pay may result in suspension of the Service.

4. Your Responsibilities

  • Accurate content: You must ensure all menu information — prices, dish descriptions, allergen declarations and availability — is accurate and up to date at all times.
  • Allergen compliance: Providing accurate allergen information is your legal obligation under EU Regulation 1169/2011 and Bulgarian food-service law. MenuModa is not liable for any allergen-related incidents, claims or penalties arising from inaccurate information on your menu.
  • Account security: Keep your login credentials confidential. You are responsible for all activity that occurs under your account.
  • Lawful use: You must not use the Service for any unlawful purpose or in violation of any applicable regulation, including but not limited to food safety and consumer protection law in the Republic of Bulgaria.
  • Image rights: You warrant that you own or have a valid licence for any images you upload to the platform.

5. Customer Orders & Data

When a guest places a delivery order through your menu, they provide personal data (name, phone number, delivery address). The following applies:

  • Data controller: You (the restaurant) are the independent data controller for the personal data of your customers, collected for the purpose of fulfilling their orders.
  • Data processor: MenuModa acts as your data processor (GDPR Art. 28), storing and transmitting customer order data on your behalf using secure infrastructure (Supabase, EU region).
  • Permitted use: Customer personal data may only be used to fulfill the specific order. You must not use it for marketing, profiling or any other purpose without a separate lawful basis and appropriate disclosure to the customer.
  • Retention: Order records are retained for 5 years as required by Bulgarian accounting law (Accountancy Act, Art. 42), after which they are deleted.
  • No card data: Payment card details are never collected or stored by MenuModa. All card payments (if applicable) are processed directly by Stripe under their own terms and DPA.
  • Customer consent: Customers are required to accept the Privacy Policy and Cookie Policy before placing an order (required checkbox at checkout). This constitutes valid consent under GDPR Art. 6(1)(a) for the data processing described above.

6. Content Ownership & Licence

  • You retain full ownership of your menu content — text, photos, pricing, branding and any other materials you provide.
  • By uploading content, you grant MenuModa a non-exclusive, royalty-free, worldwide licence to host, store and display that content solely for the purpose of providing the Service to you and your customers.
  • This licence ends when your account is terminated, subject to the data export and retention periods in Section 8.

7. Service Availability

We aim to provide a reliable service but do not guarantee 100% uptime. Planned maintenance will be notified by email with reasonable advance notice. We are not liable for losses arising from temporary unavailability outside of our control (e.g. infrastructure outages, force majeure events).

No Service Level Agreement (SLA) with uptime guarantees is offered on entry-level plans. If you require an SLA, please contact us.

8. Termination

  • Either party may terminate the subscription with 30 days' written notice sent to the other party's email address.
  • MenuModa may suspend or terminate your account immediately if you breach these Terms, fail to pay, or use the Service for any unlawful purpose.
  • Upon termination, your menu will be taken offline. Your menu content and order history will remain available for export for 30 days after the termination date. After that, data is deleted in accordance with the retention schedule in Section 5.

9. Limitation of Liability

  • MenuModa is not liable for any indirect, incidental, special or consequential losses, including loss of revenue, loss of data or reputational damage.
  • Our total liability to you for any claim arising under these Terms is limited to the fees you paid to MenuModa in the 3 months immediately preceding the event giving rise to the claim.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

10. Governing Law & Disputes

These Terms are governed by the law of the Republic of Bulgaria. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Sofia, Bulgaria.

Before initiating formal proceedings, both parties agree to attempt resolution in good faith by contacting info@menumoda.eu.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the current version. For material changes, we will notify you by email at least 14 days before the new Terms take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Bulgaria. If any provision is found unenforceable, the remaining provisions continue in full force.
